1. Acceptance of Terms
By accessing or using the Nexlyr Technologies website and engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.
2. Services
Nexlyr Technologies provides SEO, website and ecommerce development (Shopify, WordPress, BigCommerce), UI/UX design, and mobile app development services. The exact scope, deliverables, timeline, and pricing of each engagement are defined in a separate proposal or statement of work agreed between both parties.
3. Client Responsibilities
Clients agree to provide accurate, timely information, access, and materials required to deliver the agreed services. Delays caused by missing inputs may affect project timelines and are not the responsibility of Nexlyr Technologies.
4. Payments & Refunds
Payment terms are outlined in the project proposal. Typically an advance is required to commence work, with milestone payments tied to deliverables. Deliverables remain the property of Nexlyr Technologies until full payment is received. Refunds are subject to the terms agreed in the proposal and the stage of work completed.
5. Intellectual Property
Upon receipt of full payment, ownership of the final deliverables transfers to the client, excluding third-party assets, open-source components, and Nexlyr Technologies' pre-existing tools or frameworks. Nexlyr Technologies may display completed work in its portfolio unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the engagement.
7. Limitation of Liability
Nexlyr Technologies is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Total liability is limited to the amount paid for the specific service giving rise to the claim.
8. Termination
Either party may terminate the engagement with written notice as specified in the proposal. Fees for work completed up to the termination date remain payable.
9. Changes to These Terms
Nexlyr Technologies may update these Terms & Conditions at any time. Continued use of the website or services after changes constitutes acceptance of the revised terms.
10. Governing Law
These terms are governed by and construed in accordance with applicable laws. Any disputes shall be subject to the exclusive jurisdiction of the competent courts.
